By accessing or using Valcentra ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including users who are also contributors of content, information, and other materials or services. Valcentra reserves the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Valcentra is a personal finance management platform that allows users to:

- Track bills, expenses, and income - Connect bank accounts and credit cards through Plaid's secure integration - Set and monitor budget goals by spending category - Receive email reminders for upcoming and overdue bills - Share financial views with household members through group features - Analyze spending patterns with AI-powered recommendations

The Service is provided "as is" and Valcentra reserves the right to modify, suspend, or discontinue any part of the Service at any time.

To use Valcentra, you must create an account. You agree to:

- Provide accurate, current, and complete information during registration - Maintain and promptly update your account information to keep it accurate - Maintain the security of your password and accept responsibility for all activity under your account - Notify Valcentra immediately of any unauthorized use of your account - Not create more than one account per person without express written permission

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you meet this requirement.

Bank Connections: Valcentra uses Plaid Technologies, Inc. to facilitate connections to your financial institutions. By connecting a bank account, you authorize Valcentra and Plaid to access your financial data as described in our Privacy Policy and Plaid's End User Privacy Policy.

Data Accuracy: While we strive to display accurate financial information, Valcentra is not responsible for errors in data provided by your financial institutions or Plaid. Always verify important financial information with your bank directly.

Not a Financial Advisor: The information provided by Valcentra, including AI-powered recommendations and spending analysis, is for informational purposes only and does not constitute financial, investment, legal, or tax advice. Consult a qualified professional before making financial decisions.

Free Plan: The Free plan is available at no cost and includes limited features as described on our Pricing page.

Paid Plans: Personal ($7.99/month) and Household ($14.99/month) plans are billed monthly or annually as selected at checkout. All payments are processed securely through Stripe.

Billing Cycle: Subscriptions renew automatically at the end of each billing period unless cancelled. You will be charged at the beginning of each billing cycle.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes: Valcentra reserves the right to change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: All sales are final except where required by applicable law. If you believe you were charged in error, contact [email protected] within 30 days.

You agree not to use the Service to:

- Violate any applicable laws or regulations - Impersonate any person or entity or misrepresent your affiliation with any person or entity - Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable - Attempt to gain unauthorized access to any part of the Service or its related systems - Use automated means to access or scrape the Service without prior written consent - Interfere with or disrupt the integrity or performance of the Service - Reverse engineer, decompile, or disassemble any portion of the Service

The Service and its original content, features, and functionality are owned by Valcentra and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any financial data and personal information you provide to the Service. By using the Service, you grant Valcentra a limited, non-exclusive license to use your data solely to provide and improve the Service as described in our Privacy Policy.

The Valcentra name, logo, and all related product names, design marks, and slogans are trademarks of Valcentra. You may not use these marks without prior written permission.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability: To the maximum extent permitted by applicable law, Valcentra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Maximum Liability: Valcentra's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to Valcentra in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Valcentra and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

- Your access to or use of the Service - Your violation of these Terms - Your violation of any third-party rights, including intellectual property rights - Any content you submit, post, or transmit through the Service

Valcentra may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us at [email protected] or through the account settings page.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against Valcentra.
